1. Platform Definition and Scope

1.1 Technical Infrastructure Provider

Replicants.com (the “Company”) provides a managed cloud-native runtime environment and orchestration layer (the “Platform”) for hosting autonomous agentic software, including but not limited to the OpenClaw framework.

1.2 Non-Advisory Nature

The Platform is a technical utility for automation and does not provide legal, financial, or professional advice. Users must independently determine the suitability of Agents for regulatory or commercial obligations.

1.3 Third-Party Intelligence

The Platform leverages third-party Large Language Models (LLMs) via a “Bring Your Own Key” (BYOK) model. The Company does not control, develop, or warrant the behavior, accuracy, or safety of these external foundational models.

2. Delegation of Authority and Agency

2.1 Express Delegation

By initializing an Agent or Workforce, you grant that software the Delegation of Authority to act on your behalf across digital environments, including executing code, managing authorized resources, and interacting with third-party platforms.

2.2 Principal-Agent Relationship

Under modern digital agency law, you are the “Principal” and are legally bound by the outcomes of your Agent's authorized actions as if you had performed them yourself.

2.3 Scoped Permissions

You are responsible for configuring Agents with Zero Standing Privileges (ZSP), granting access to resources only for the duration necessary to complete a task.

3. Assumption of Risk and Liability

3.1 Comprehensive Risk Assumption

You assume all financial, operational, and reputational risks associated with Agent use.

3.2 Autonomous Errors and Hallucinations

You acknowledge that machine learning models are probabilistic and may produce “hallucinations” or logical errors. The Company disclaims all liability for damages arising from such failures.

3.3 Rogue Behavior and Unintended Actions

You are strictly liable for “unintended activity” where an Agent follows your configuration but produces an unwanted or harmful result.

3.4 Third-Party Platform Compliance

You warrant that your Agent's activity does not violate the terms of service of any external site it is configured to interact with.

4. User Obligations and Security

4.1 Configuration Responsibility

You maintain exclusive control over Agent operating instructions, heartbeat frequency, and overall logic.

4.2 Human-in-the-Loop (HITL)

You agree to implement appropriate human oversight mechanisms for high-risk actions, particularly those involving financial or legal consequences.

4.3 Credential Security

You are solely responsible for the security of your account and any third-party API keys provided to the Platform.

5. Data Governance and Privacy

5.1 Reasoning Logs

For security and compliance, the Platform records “Reasoning Logs” (the Agent's internal decision-making process). These logs serve as auditable activity records required by 2026 regulatory standards.

5.2 Data Usage

The Company will not use your proprietary configuration data or reasoning logs to train its base orchestration models without your explicit opt-in.

5.3 Explainability

You are responsible for maintaining documentation sufficient to respond to individual access requests or regulatory audits regarding Agent behavior.

6. Prohibited Uses

6.1 Acceptable Use Policy

You may not use Agents for:

  • Impression Fraud: Misrepresenting AI-generated content as human-generated without disclosure.
  • Malicious Activity: Cyberattacks, fraud, or circumventing anti-bot measures.
  • Unlawful Content: Producing unlawful deepfakes or impersonating individuals without consent, as per the No FAKES Act.

7. Platform Monitoring and Termination

7.1 Global Kill-Switch

The Company reserves the right to suspend any Agent or Workforce that exhibits “runaway” behavior or poses a systemic risk to the Platform infrastructure.

7.2 Compliance Enforcement

We may suspend accounts found to be in violation of state AI governance acts, such as those in Colorado, Texas, or California, effective in 2026.

8. Indemnification

You agree to indemnify and hold harmless the Company against any third-party claims, damages, or legal costs arising from your Agent's autonomous actions, including financial loss, defamation, or intellectual property infringement.
